Terms of Service

These Terms constitute a legally binding agreement between you ("User") and Sprkly, operated by WILLOW TECH PTE. LTD., a private limited company incorporated in Singapore ("we", "us", "our"). You must be at least 13 years old to use the Service.

We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms. We will notify you of material changes by email.

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must provide accurate information during registration.
• Accounts may not be shared or transferred without our written consent.

You may use Sprkly only for lawful purposes and in accordance with these Terms. You agree not to:

• Post, schedule, or distribute content that is unlawful, defamatory, harassing, obscene, or otherwise objectionable.
• Violate any social media platform's own terms of service through our Service.
• Attempt to gain unauthorised access to any part of the Service or its infrastructure.
• Use automated bots or scripts to interact with the Service in ways not expressly permitted.
• Resell, sublicense, or exploit the Service for commercial purposes without prior written consent.

You retain full ownership of all content you submit, upload, or schedule through Sprkly. By using our Service, you grant Sprkly a limited, non-exclusive, royalty-free licence to process, optimise, store, and transmit your content solely as required to provide the scheduling and publishing functionality.

You are solely responsible for ensuring that your content does not infringe any third-party intellectual property rights, and that it complies with applicable laws and the terms of the social media platforms to which it is published.

• Legacy free access: Kept only for expired trials and cancelled subscriptions. Active publishing requires a paid plan.
• The Pro Creator: $5 per connected handle per month. Unlimited posts with 60-day media retention. Billed via Stripe.
• Power: $25/month flat. Includes 5 handles, 2 team seats, and 180-day media retention. Billed via Stripe.
• Refund Policy: Subscription fees are generally non-refundable except where required by applicable law.

  EU Cooling-Off Period: If you are an EU resident, you have the right to cancel your subscription within 14 days of your initial purchase for a full refund under the Consumer Rights Directive 2011/83/EU. This right is waived if you explicitly consented to begin the service immediately and acknowledged the waiver of your right to cancel.

  How to Request a Refund: Email support@sprkly.app with the subject line "Refund Request". Include your account email address and a brief reason for your request.

  Processing Time: Approved refunds will be processed within 10 business days and returned to your original payment method via Stripe.

  Non-Refundable Items: Partial months of subscription, and add-on handle purchases made more than 14 days ago are not eligible for refunds.

• We reserve the right to update pricing with 30 days' notice. Existing subscribers are not affected until renewal.

All trademarks, service marks, logos, and the overall look and feel of Sprkly are exclusively owned by WILLOW TECH PTE. LTD. Nothing in these Terms grants you a right to use any of our intellectual property without our prior written consent.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free from viruses.

To the fullest extent permitted by law, Sprkly shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of (or inability to use) the Service, including loss of revenue, loss of data, or business interruption. Our total aggregate liability shall not exceed the amounts paid by you in the 12 months preceding the claim.

We may suspend or terminate your access to the Service at any time if you breach these Terms. You may delete your account at any time via Settings → Account. Termination does not affect any rights or obligations accrued prior to termination.

These Terms are governed by the laws of Singapore, without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.
